Terms of Service

Introduction

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Synaptic.

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you” or “User”) and Vy Labs Technologies Private Limited, a company incorporated under the laws of India and having its registered office at WeWork 7B, Sector-28, Platina Tower, MG Road, Near Sikandarpur Metro, Gurgaon, Sadar Bazar, Haryana, India – 122001 (“Company”, “Synaptic”, “we”, “us” or “our”), governing your access to and use of Canonical and any related websites, mobile applications, application programming interfaces, content, features and functionality made available by us (collectively, the “Service”).

By clicking “I accept”, creating an Account, making a payment for, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (available at /privacy-policy), which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

Notice on data and content. The Service relies on (i) data and analyses prepared by Synaptic, including data sourced from publicly available channels and processed by us, and (ii) data, content, indicators and other materials licensed or otherwise obtained from third-party providers, which may be made available to you in original or derivative form. The Service is provided for informational and analytical purposes only and does not constitute investment, legal, tax, accounting or other professional advice. See the sections “Data Sources and Third-Party Data” and “Disclaimers” for important limitations.

Definitions

Capitalised terms not otherwise defined in these Terms have the meanings set out below.

  • Account means the unique account created by or for you to access and use the Service.
  • Applicable Law means all statutes, laws, rules, regulations, orders, directives, guidelines and notifications of any governmental or regulatory authority applicable to a party or to the Service.
  • Content means any data, text, charts, graphs, indicators, models, datasets, reports, analyses, signals, derivative outputs and other materials made available through the Service, whether sourced from us, licensors or other third parties.
  • Fees means the subscription fees, usage charges, taxes and other amounts payable by you for access to and use of the Service, as set out on the Service or in an applicable order.
  • Intellectual Property Rights means patents, copyrights, trademarks, service marks, trade names, design rights, database rights, domain names, trade secrets, know-how and all other intellectual or proprietary rights, whether registered or unregistered.
  • Subscription Term means the period for which you have subscribed to the Service, as set out in the applicable order or sign-up flow.
  • Third-Party Data means any Content originating from third-party data providers, vendors, exchanges, public sources or other licensors, whether distributed through the Service in original (“as-is”) or derivative form.
  • User Data means information you submit to or that we collect from you in connection with your use of the Service, including registration information, payment information, queries, prompts, configuration choices and usage telemetry.

Eligibility

To access or use the Service, you must be at least eighteen (18) years of age, possess the legal capacity to enter into a binding contract under Applicable Law, and not be barred from receiving the Service under Applicable Law.

If you are accessing or using the Service on behalf of an entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to “you” shall include such entity.

The Service is not directed at children. We do not knowingly collect Personal Data from individuals under the age of 18.

Account Registration and Security

To use the Service, you must create an Account by providing accurate and complete information, including your name and a valid email address, and such additional information as we may reasonably require.

  • maintain the accuracy of your Account information and promptly update any changes;
  • keep your login credentials confidential;
  • not share your Account with, or permit access to, any other person; and
  • be solely responsible for all activities that occur under your Account.

You must notify us immediately at support@trycanonical.ai of any unauthorised access to or use of your Account or any other actual or suspected security breach. We are not liable for any loss or damage arising from your failure to comply with this Section.

We reserve the right to refuse, suspend or terminate any Account at our discretion, including where we have reasonable grounds to suspect fraud, misuse or breach of these Terms.

Subscriptions, Fees and Payment

Access to the Service is offered on a paid subscription basis. The applicable Fees, billing frequency, included features and any usage limits will be presented to you at sign-up or in an applicable order.

You authorise us (and our payment processors) to charge the Fees to your designated payment method at the start of each Subscription Term and on each renewal until the subscription is cancelled in accordance with these Terms.

All Fees are exclusive of applicable taxes, levies, withholdings and similar charges, which shall be borne by you. We may collect and remit such taxes where required by Applicable Law.

Unless otherwise stated, subscriptions automatically renew at the end of each Subscription Term for successive periods of equal length at the then-current Fees, until cancelled. You may cancel auto-renewal at any time through your Account settings or by writing to support@trycanonical.ai; cancellation takes effect at the end of the then-current Subscription Term.

Except where required by Applicable Law or expressly provided in our refund policy, all Fees are non-refundable, including for partial Subscription Terms, unused portions of the Service, downgrades, or termination by you for any reason.

We may change Fees from time to time. Changes will apply at the next renewal of your Subscription Term and will be notified to you with reasonable advance notice.

Any failed, declined, reversed or chargeback payment may result in suspension or termination of your Account. Overdue amounts shall accrue interest at the lower of 1.5% per month or the maximum rate permitted by Applicable Law.

Free Trials and Promotional Offers

We may, at our discretion, offer free trials, discounts or other promotional access to the Service, subject to the terms presented at the time of the offer.

Unless cancelled before the end of any free trial, your subscription will automatically convert to a paid subscription and you will be charged the applicable Fees.

We reserve the right to modify or terminate any free trial or promotional offer at any time.

Licence to Use the Service

Subject to your continued compliance with these Terms and timely payment of Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence during the Subscription Term to access and use the Service and Content solely for your internal personal or business use as expressly permitted by the Service.

All rights not expressly granted to you are reserved by us and our licensors. Nothing in these Terms transfers any Intellectual Property Rights in the Service or the Content to you.

Acceptable Use and Prohibited Conduct

You agree that you will not, and will not permit any third party to:

  • copy, reproduce, modify, translate, adapt, create derivative works of, publicly display, publish, distribute, sell, sublicense or otherwise exploit any portion of the Service or the Content, except as expressly permitted by these Terms;
  • redistribute, resell, lease, share, host or otherwise make available the Service or any Content (in original or derivative form) to or for the benefit of any third party, including by way of any service bureau, data feed, white-label or syndication arrangement;
  • use the Service or Content to train, fine-tune, evaluate, benchmark or otherwise develop any artificial intelligence, machine learning or large language model, or to create any product or service that is competitive with the Service;
  • scrape, crawl, harvest, index, mine or otherwise extract data or Content from the Service by automated or manual means, except via interfaces and to the extent expressly authorised by us in writing;
  • reverse engineer, decompile, disassemble or attempt to derive the source code, underlying ideas, algorithms, models or trade secrets of the Service, except to the limited extent that this restriction is prohibited by Applicable Law;
  • circumvent, disable, interfere with or attempt to bypass any security, authentication, rate-limiting, billing, usage tracking or access-control feature of the Service;
  • upload, transmit or distribute any virus, worm, malware or other harmful code, or take any action that imposes an unreasonable load on our infrastructure;
  • use the Service in violation of Applicable Law, including data protection, securities, anti-money laundering, sanctions, export control and intellectual property laws;
  • use the Service to engage in market manipulation, insider trading or any other unlawful or unethical financial activity;
  • misrepresent your identity or affiliation, or attempt to access any account, system or data that you are not authorised to access; or
  • remove, obscure or alter any proprietary notice, attribution or branding contained in the Service or the Content.

We may investigate any actual or suspected breach of this Section and take any action we deem appropriate, including suspension or termination of your Account, removal of Content and reporting to law enforcement or regulatory authorities.

Your Submissions and Inputs

The Service may permit you to submit queries, prompts, search terms, configuration inputs, files, comments and similar materials (collectively, “Submissions”).

As between you and us, you retain ownership of your Submissions. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, transmit, process and otherwise use your Submissions solely to operate, maintain, secure, support, improve and develop the Service and to comply with Applicable Law.

You represent and warrant that (i) you have all necessary rights in your Submissions and (ii) your Submissions, and our use of them as permitted under these Terms, do not and will not infringe or violate any rights of any third party or Applicable Law.

We do not use your Submissions to train, fine-tune or develop our or any third party’s machine learning or artificial intelligence models, except (a) with your prior consent or (b) where Submissions have been irreversibly de-identified and aggregated with data from other users so that they cannot reasonably be used to identify you or your business.

Data Collection, Processing and Consent

Our collection and processing of personal data is governed by our Privacy Policy. By accepting these Terms, accessing the Service or otherwise providing personal data to us, you acknowledge that you have read the Privacy Policy and consent to the collection, use, disclosure, transfer, storage and other processing of your personal data as described in the Privacy Policy and these Terms.

You expressly acknowledge and consent that we may collect and process the following categories of data:

  • identification and contact data, including your name and email address;
  • Account, billing and transaction data, including subscription plan, billing address and tax-related information (payment instrument data is processed by our payment processors and is not retained by us in plain form);
  • usage and analytics data, including IP address, device identifiers, browser type, operating system, referrer, pages and features accessed, clicks, hovers, search and query terms, session duration, performance and error data, and similar telemetry collected through cookies, pixels, log files and similar technologies;
  • Submissions and other content you provide through the Service; and
  • communications you have with us, including support requests and survey responses.

You consent to our use of the foregoing data to (i) provide, operate and secure the Service; (ii) authenticate and administer your Account and process payments; (iii) personalise your experience and recommend Content; (iv) measure and analyse usage to maintain, troubleshoot and improve the Service, including the development of new features; (v) provide customer and technical support; (vi) detect, prevent and address fraud, abuse and security incidents; (vii) comply with Applicable Law and respond to lawful requests; and (viii) communicate with you about the Service, including service-related notices and, where permitted, marketing communications.

We may share your personal data with our affiliates, service providers, payment processors, hosting and analytics vendors, professional advisers, regulators and other third parties as described in the Privacy Policy.

You have the rights granted to you under Applicable Law in relation to your personal data, including, where applicable, rights of access, correction, deletion, restriction, objection and portability. You may exercise these rights, and withdraw any consent given, by writing to support@trycanonical.ai. Withdrawal of consent will not affect the lawfulness of processing carried out before the withdrawal and may, in certain cases, prevent you from continuing to use all or part of the Service.

Where the Service is provided to you on behalf of an organisation (for example, your employer), that organisation may have additional rights and obligations in respect of your data, and we may share your data with that organisation in connection with the administration of the Service.

Cookies, Tracking and Marketing Communications

We and our service providers use cookies, web beacons, pixels and similar technologies to operate the Service, remember your preferences, analyse usage and conduct marketing. Further details, including the types of cookies used and your choices, are set out in our Privacy Policy and (where displayed) our cookie banner.

We may send you transactional and service-related communications, which are not subject to opt-out so long as you have an Account.

We may also send you marketing, promotional or informational communications by email or other channels in accordance with Applicable Law and your communication preferences. You can opt out of marketing communications at any time by using the “unsubscribe” link in our messages or by writing to support@trycanonical.ai.

Data Sources and Third-Party Data

The Content includes (a) data and analyses prepared by Synaptic, including data sourced from publicly accessible channels and processed by our team, and (b) Third-Party Data licensed or otherwise obtained from third-party providers, which may be made available to you in original (“as-is”) or derivative form, including in combination with Synaptic-prepared analyses.

You acknowledge that:

  • Third-Party Data is provided by independent providers and is not generated, controlled or endorsed by Synaptic;
  • Third-Party Data may be subject to additional terms, restrictions, attributions, usage limitations or fees imposed by the relevant provider, which may be communicated to you through the Service. You agree to comply with all such additional terms;
  • Synaptic does not represent or warrant the accuracy, completeness, currentness, reliability, fitness for any purpose or non-infringement of any Content, including any Third-Party Data or any derivative output;
  • Synaptic may change, suspend, restrict, withdraw or substitute any Content or Third-Party Data at any time, including where required by a third-party provider, by Applicable Law or by changes in the underlying source; and
  • Synaptic shall have no liability arising out of or in connection with any Third-Party Data, including any errors, omissions, delays, interruptions or losses associated with such data, or any decisions you make in reliance on such data.

You shall not use any Third-Party Data in any manner that violates these Terms, the additional terms imposed by the relevant third-party provider or Applicable Law. We reserve the right to audit your use of the Service and Third-Party Data to verify compliance and to suspend or terminate access where non-compliance is detected.

Intellectual Property

The Service and the Content (excluding your Submissions and Third-Party Data, which are owned by their respective rights holders) are owned by Synaptic and its licensors and are protected by Intellectual Property Rights and other Applicable Law.

“Synaptic”, the Synaptic logo, “Canonical” and the Canonical logo and other names, logos, marks and slogans appearing on the Service are trademarks of Synaptic or its licensors. You may not use any such trademarks without our prior written consent.

If you provide us with any feedback, suggestions, ideas or recommendations regarding the Service (“Feedback”), you hereby assign to us all right, title and interest in and to such Feedback, and we may use, reproduce, modify and exploit such Feedback for any purpose without restriction or compensation to you.

Third-Party Services and Links

The Service may contain links to, integrations with, or otherwise interoperate with websites, applications, products and services operated by third parties (“Third-Party Services”). Third-Party Services are provided for your convenience only and are not under our control. Your use of any Third-Party Service is governed by the terms and privacy practices of the relevant third party. We are not responsible or liable for any Third-Party Service or for any loss or damage arising from your use of, or reliance on, any Third-Party Service.

Confidentiality

During your use of the Service you may obtain access to non-public information of Synaptic, including with respect to features, pricing, methodologies, datasets, models and roadmap (“Confidential Information”). You shall (i) hold Confidential Information in strict confidence; (ii) use it solely to exercise your rights and perform your obligations under these Terms; and (iii) not disclose it to any third party without our prior written consent.

The obligations in this Section do not apply to information that is publicly known through no breach of these Terms, was lawfully known to you free of confidentiality restrictions before disclosure, was independently developed without use of the Confidential Information, or is required to be disclosed by Applicable Law (provided that, where lawful, you give us prompt notice and reasonable assistance to seek protective relief).

Modifications to the Service and these Terms

We may modify, enhance, suspend or discontinue, in whole or in part, the Service or any features or Content from time to time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension or discontinuance, except as expressly provided in these Terms.

We may amend these Terms from time to time. The updated Terms will be posted on the Service with a revised “Last updated” date. Where the changes are material, we will use reasonable efforts to provide additional notice (for example, by email or in-product notification). Your continued access to or use of the Service after the effective date of any updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription in accordance with the Subscriptions, Fees and Payment section.

Term, Suspension and Termination

These Terms commence on the date you first accept them or first access the Service (whichever is earlier) and continue until terminated in accordance with this Section.

You may terminate your Account at any time by following the cancellation flow on the Service or writing to support@trycanonical.ai. Termination will be effective at the end of the then-current Subscription Term, unless we agree otherwise in writing.

We may suspend or terminate your Account or access to the Service immediately, without notice or liability, where (i) you are in breach of these Terms; (ii) you fail to pay any Fees when due; (iii) we are required to do so by Applicable Law or by a regulator, court or third-party provider; (iv) we reasonably believe that your use of the Service poses a security, legal or reputational risk to us, our other users or any third party; or (v) we discontinue the Service or any portion thereof.

Upon termination, (i) all rights and licences granted to you under these Terms will immediately cease; (ii) you must stop accessing and using the Service and the Content; and (iii) we may delete your Account and any associated data in accordance with our retention practices and Applicable Law. Any Fees paid in advance are non-refundable, except where required by Applicable Law.

Sections that by their nature should survive termination shall survive, including the sections relating to definitions, acceptable use, ownership of Submissions, data sources, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, notices and general provisions.

No professional advice

The Service and the Content are provided for informational, analytical and research purposes only. They do not constitute, and should not be relied upon as, investment, financial, legal, tax, accounting, regulatory or other professional advice, or any recommendation or solicitation to buy, sell or hold any security, financial instrument or other asset. You are solely responsible for evaluating the merits and risks of any decision based on the Service and should consult your own professional advisers.

“As-is” basis

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND THE CONTENT (INCLUDING ALL THIRD-PARTY DATA) ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. SYNAPTIC AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, TIMELINESS AND QUIET ENJOYMENT.

No guarantee of results

We do not warrant that the Service will be uninterrupted, error-free or secure, that defects will be corrected, or that the Service or any servers used in connection with it are free of viruses or other harmful components. Past performance, signals, indicators or analyses do not guarantee future results.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNAPTIC, ITS AFFILIATES OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY (i) INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES; (ii) LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITY, ANTICIPATED SAVINGS, BUSINESS OR INVESTMENT; (iii) LOSS, CORRUPTION OR INACCURACY OF DATA; OR (iv) COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES, IN EACH CASE ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE OR THE CONTENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AND OUR AFFILIATES’ AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE OR THE CONTENT, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The exclusions and limitations of liability set out in this Section apply to the maximum extent permitted by Applicable Law and shall not limit any liability that cannot be limited or excluded by Applicable Law.

Indemnification

You shall defend, indemnify and hold harmless Synaptic, its affiliates and their respective officers, directors, employees, agents, licensors and service providers from and against any and all claims, demands, actions, losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your access to or use of the Service or Content; (ii) your Submissions; (iii) your breach of these Terms or any Applicable Law; (iv) your violation of any rights of a third party (including any data provider); or (v) any decision or action you take based on the Service or Content. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defences.

Force Majeure

We shall not be liable for any delay or failure in performance under these Terms (other than payment obligations) to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, governmental action, labour disputes, internet or telecommunications failures, third-party service disruptions, cyber-attacks, or interruptions to Third-Party Data.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, the Service or the Content (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules.

The courts at Gurugram, Haryana, India shall have exclusive jurisdiction to settle any such dispute or claim.

Notices

We may give you notice by email to the address associated with your Account, by posting on the Service or by any other reasonable means. Notices are deemed received on the day of sending (if by email) or on the day of posting (if posted on the Service).

You may give us notice in writing at the registered office address set out in the preamble or by email to support@trycanonical.ai. Such notices are deemed received upon written confirmation of receipt by us.

General Provisions

  • Assignment You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms in whole or in part, including in connection with a merger, acquisition, financing or sale of all or substantially all of our assets.
  • Severability If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent permitted by Applicable Law and the remaining provisions shall continue in full force and effect.
  • No waiver Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
  • No partnership Nothing in these Terms creates any agency, partnership, joint venture or employment relationship between you and us.
  • No third-party beneficiaries Except as expressly set out, these Terms are not intended to confer any rights or remedies on any person other than you and us.
  • Entire agreement These Terms, together with the Privacy Policy and any order or supplemental terms expressly referenced or accepted by you, constitute the entire agreement between you and us in relation to the Service and supersede all prior or contemporaneous agreements, communications and understandings, whether oral or written, in relation to the same subject matter.
  • Headings Headings are for convenience only and shall not affect the interpretation of these Terms.
  • Language These Terms are made in the English language. Any translation is provided for convenience only, and the English version shall prevail in case of any conflict.
